Why this conversation

A rights issue is a company raising capital by offering new shares to its existing shareholders, usually cheaply and in proportion to what they already hold. "Rights" here means the right to buy, not human rights, and "issue" means issuing shares, not a problem — the whole phrase is a false friend twice over. Compare a private placement, where the new shares go to selected outside investors instead.

rights issue — 신주 발행(기존 주주에게 할당하는 유상증자)

금융 쪽에서 일하는 친구가 둘 다 주식을 들고 있는 회사 이야기로 Jay에게 전화한다. 그 회사가 기존 주주에게 먼저 신주를 주는 방식으로 자금을 모은다는 것이다. Jay는 공시를 읽으려고 영어 용어를 알고 싶어 한다.

왜 이 대화인가

**Rights issue**는 회사가 기존 주주에게, 보통 싸게, 보유 비율에 따라 신주를 살 권리를 주며 자금을 모으는 것이다. 여기서 rights는 인권이 아니라 살 권리이고, issue는 문제가 아니라 주식 발행이다. 한 표현 안에 가짜 친구가 두 개 들어 있는 셈이다. 신주가 외부의 특정 투자자에게 가는 private placement와 대비해 두면 좋다.

Yusuf: 그 회사 자금 모은대. 기존 주주가 신주를 먼저 살 수 있고.
